Terms and Conditions

1. Acceptance of Terms

By accessing or using IntradeIQ (“the Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you (“User”) and Derrickson Systems Ltd (“Company”).

2. Description of Service

IntradeIQ provides customs duty estimation tools for vehicles, general cargo, and HS code classification. All calculations are estimates for informational purposes only and do not constitute professional customs advice. Users must verify all figures with the Kenya Revenue Authority (KRA) or a licensed customs agent before making any financial decisions.

3. User Accounts and Registration

  • You must be at least 18 years old to create an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credit System and Payments

  • Credits are non-refundable and non-transferable except as expressly stated.
  • Each credit deduction consumes one calculation or PDF export as specified in the platform.
  • Subscription fees are billed monthly in advance. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to modify pricing with 30 days' notice via email or platform notification.
  • All payments are processed securely through third-party payment processors. We do not store payment card details.

5. User Obligations

  • You agree not to use the Platform for any unlawful purpose or in violation of Kenyan or international law.
  • You agree not to attempt to circumvent the credit system, rate limits, or security measures.
  • You agree not to scrape, crawl, or reverse-engineer the Platform.
  • You agree not to share your account credentials or allow unauthorised access.

6. Intellectual Property

All content, code, design, and materials on the Platform are the intellectual property of Derrickson Systems Ltd unless otherwise attributed. You may not reproduce, distribute, modify, or create derivative works without express written permission. The IntradeIQ name, logo, and branding are proprietary trademarks.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. DUTY CALCULATIONS ARE ESTIMATES ONLY AND SHOULD NOT BE RELIED UPON AS FINAL TAX LIABILITY.

8. Limitation of Liability

To the maximum extent permitted by law, Derrickson Systems Ltd shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to incorrect duty calculations, financial losses, or business interruption. In no event shall our total liability exceed the amount you have paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Derrickson Systems Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, the Platform, or third parties. Upon termination, your right to use the Platform immediately ceases. Provisions relating to intellectual property, disclaimers, and limitation of liability shall survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be referred to mediation under the Nairobi Centre for International Arbitration (NCIA) rules. Where mediation fails, the dispute shall be resolved exclusively by the courts of Kenya.

12. Changes to Terms

We reserve the right to amend these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance of the revised Terms.
